3.1 Permitted use
You may use this website to learn about our company, browse products, download our catalogue and submit business enquiries. You agree not to use the website for any unlawful purpose, to attempt unauthorised access, to upload malicious code, or to scrape or copy content for commercial reuse.
3.2 Accuracy of information
Product descriptions, images, specifications and certificates are provided for general information. Natural agricultural products vary by crop season, origin and harvest, so colour, size and aroma may differ slightly from images shown. Final specifications are those confirmed in the Order or the accompanying Certificate of Analysis.
3.3 Intellectual property
The Sadbhaav Spices name, logo, website design, text, photographs, catalogue and certificates are the property of M/s Sadbhaav Global Impex LLP. They may not be copied, reproduced, modified or used without our prior written permission.
3.4 Third-party links
The website may link to external sites such as social media pages or government portals. We are not responsible for the content, availability or privacy practices of those sites.
3.5 Privacy
Information you submit through enquiry forms is used only to respond to your enquiry and process business transactions. Please read our Privacy Policy for full details.
4. Enquiries, Quotations and Orders
4.1 Quotations
Quotations are valid for the period stated on them, or 7 days if no period is stated. Spice prices follow agricultural commodity markets, so we may revise a quotation before an Order is confirmed.
4.2 Order confirmation
An Order becomes binding only when we confirm it in writing through a signed proforma invoice or sales contract. We may decline any Order at our discretion, including where export regulations, product availability or credit checks do not permit supply.
4.3 Samples
Samples are drawn from representative lots and provided for evaluation only. Courier charges for samples may be borne by the Buyer unless agreed otherwise. Bulk shipments will match the approved sample within normal tolerances for natural products.
4.4 Minimum order quantity
Minimum order quantities depend on the product and packaging and are stated in each quotation.
4.5 Pricing
Prices are quoted in the currency and Incoterm stated in the quotation (for example FOB, CIF or CNF). Unless stated otherwise, prices exclude destination import duties, local taxes, inspection fees requested by the Buyer and bank charges outside India.
4.6 Payment terms
Payment terms are stated in each proforma invoice. Typical terms include advance payment by bank transfer (T/T), part advance with balance against shipping documents, or an irrevocable Letter of Credit (L/C) from a bank acceptable to us. Delayed payment may result in shipment being held, and any bank charges or exchange losses caused by late payment are payable by the Buyer.
4.7 Cancellation
Once an Order is confirmed and procurement or processing has begun, it cannot be cancelled without our written consent. Costs already incurred, including raw material, processing, packaging and freight booking, may be deducted from any advance paid.
5. Quality, Packaging and Labelling
5.1 Quality standards
All Products are cleaned, processed and packed under hygienic conditions in line with applicable Indian food safety requirements. Each shipment is supplied to the Specifications agreed in the Order, and a Certificate of Analysis can be provided on request.
5.2 IPM spices
IPM (Integrated Pest Management) spices are sourced from farms following IPM practices to reduce chemical pesticide use. Where the Buyer requires testing for pesticide residues against a specific destination standard (such as EU MRLs), this must be agreed in writing before the Order, and the laboratory and testing cost will be stated in the quotation.
5.3 Natural variation
Spices, seeds and herbs are natural agricultural products. Minor variations in colour, size, aroma and oil content between crop seasons are normal and do not constitute a defect, provided the agreed Specifications are met.
5.4 Packaging and private labelling
Products are packed in the bag type and size agreed in the Order, such as PP bags, jute bags, paper bags or consumer packs. For private-label orders, the Buyer is responsible for providing artwork and confirming that label content complies with the laws of the destination country.
5.5 Storage after delivery
Once goods are delivered, the Buyer is responsible for storing them in a cool, dry, pest-free environment. We are not liable for quality changes caused by improper storage or handling after delivery.
6. Shipping, Delivery and Documentation
6.1 Incoterms and transfer of risk
Delivery terms follow the Incoterm stated in the Order, interpreted under Incoterms 2020. Risk of loss or damage passes to the Buyer at the point defined by that Incoterm. For FOB orders, risk passes once the goods are loaded on board the vessel at the Indian port of shipment.
6.2 Shipment schedule
Shipment dates are estimates based on crop availability, processing time and vessel schedules. We are not liable for delays caused by shipping lines, port congestion, customs inspections or other events outside our control, but we will keep the Buyer informed of any expected change.
6.3 Export documentation
We provide standard export documents as agreed in the Order, which may include the commercial invoice, packing list, bill of lading, certificate of origin, phytosanitary certificate, fumigation certificate and Certificate of Analysis. Additional certificates requested by the Buyer may carry extra cost.
6.4 Import compliance
The Buyer is responsible for obtaining import licences, permits and registrations required in the destination country, and for paying import duties and local taxes. The Buyer must inform us of any special destination requirements before the Order is confirmed.
7. Inspection, Claims and Returns
The Buyer may arrange pre-shipment inspection by an independent agency (such as SGS or Bureau Veritas) at its own cost. Pre-shipment inspection results, once accepted, are final for quality and quantity.
Any claim for shortage, damage or non-conformity must be raised in writing within 15 days of the goods arriving at the destination port. Claims must include photographs, the lot or batch number and a report from a recognised independent laboratory or surveyor. Products cannot be returned without our written approval. Where a claim is accepted, we will at our option replace the affected quantity, issue a credit note or refund the value of the affected goods.
8. Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control. These include natural disasters, crop failure, floods, pandemics, war, strikes, government export restrictions, port closures and changes in law. In such cases, our obligations are suspended for the duration of the event.
9. Limitation of Liability
Our total liability for any claim relating to an Order shall not exceed the invoice value of the Products concerned. We are not liable for indirect or consequential losses, including loss of profit, business or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
10. Indemnity
The Buyer agrees to indemnify the Company against losses arising from the Buyer’s breach of these Terms, incorrect information supplied by the Buyer, or non-compliance with import or labelling laws in the destination country.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of India, including the Indian Contract Act, 1872 and the Sale of Goods Act, 1930. Parties will first try to resolve any dispute amicably within 30 days. Unresolved disputes are subject to the exclusive jurisdiction of the courts in Palghar, Maharashtra, India, unless the Order specifies arbitration.
12. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated date. Continued use of the website or placing an Order after changes are posted means you accept the revised Terms.
